These Terms and Conditions ("T&Cs") govern your access to and use of Kazisafi, a cloud-based, scalable, subscription-based Software-as-a-Service ("SaaS") platform operated by Kuntu Systems Limited ("Kuntu", "we", "us", "our"). Kazisafi enables businesses operating within the Republic of Kenya and, where applicable, other jurisdictions, to manage payroll, human resources, statutory compliance, employee records, workforce analytics, and regulatory reporting through an integrated digital platform.
By subscribing to or using the Service through the white-label application ("the Platform"), you ("you", "your", or "User") agree to be bound by these T&Cs in their entirety. If you do not accept any part of these T&Cs, you must refrain from using the Service. You are advised to read these Terms carefully before accessing, subscribing to, or utilizing the Service.
By accessing or using our Services, you have the legal capacity to enter into these Terms. If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

We offer comprehensive human capital management services designed to assist you in streamlining payroll administration, automating statutory compliance, managing employee records, and generating actionable workforce insights. Our platform operates as a cloud-based, subscription software solution, enabling you to securely access, process, and manage your organisation's HR and payroll data from any device with an internet connection, while ensuring compliance with Kenyan labour, tax, and regulatory requirements.
The subscription fee for the Service is Kshs. 200 per employee per month, payable in advance or as otherwise agreed. Access to the Service is contingent upon timely payment of all subscription fees.
The Service includes, but is not limited to, the following functionalities:
The Platform may be used to support payroll obligations including statutory deductions and tax calculations in accordance with the Income Tax Act and reporting to statutory bodies including the Kenya Revenue Authority, the National Social Security Fund and the Social Health Authority.
Certain features of the Platform may utilise automated or artificial intelligence-driven analytics. You acknowledge that any insights, recommendations, or outputs generated through such features may contain inaccuracies or limitations and should be independently reviewed and verified before reliance or use for decision-making purposes.
By subscribing to the Service, you acknowledge and agree that the above features form part of the Service, and that subscription fees are non-refundable except as expressly provided in these Terms.
The Platform is intended solely as a technology tool and does not replace professional legal, payroll, or tax advice.
We reserve the right to refuse service in situations that are deemed unsafe or beyond the scope of our capabilities.
To access and use the Platform, you are required to create an account and pay the requisite charges. Access to the Platform is granted exclusively to the account holder and individuals expressly authorised by the subscribing organisation ("Authorised Users"). You must provide accurate, complete, and up-to-date information when creating an account and are solely responsible for maintaining the confidentiality of your login credentials.
By using the Platform, you confirm that you understand and accept that maintaining authorised access is your sole responsibility, and that Kuntu is not liable for any unauthorised use of your credentials beyond reasonable security measures provided.
The Platform may only be used by individuals with the legal capacity to enter into a binding contract. By accessing or using the Platform, you confirm that you are at least eighteen (18) years old and legally authorised to accept these Terms. If you access the Platform on behalf of a company or other legal entity, you represent and warrant that you are authorised to bind that entity to these Terms.
Kuntu Systems Limited reserves the right, at its sole discretion, to refuse access to the Platform, suspend accounts, or terminate services where it reasonably believes that a user does not meet the eligibility requirements set out in this clause.
You agree to use the Platform only in accordance with these Terms and all applicable laws and regulations. Without limitation, you shall:
Kuntu Systems Limited shall not be responsible for any errors, losses, or liabilities arising from inaccurate data, improper use of the Platform, or failure by the user to comply with applicable legal obligations.
You agree to indemnify, defend, and hold harmless Kuntu Systems Limited, its directors, officers, employees, affiliates, and agents from and against any and all claims, demands, losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to:
You agree to cooperate with us in any legal defense regarding your use of the Services or any claims against us regarding your use of the services.
This indemnity shall survive the suspension or termination of your access to the Platform.
We shall use reasonable efforts to ensure that the Platform remains available and accessible. However, access may be interrupted or suspended from time to time due to scheduled maintenance, system updates, technical issues, or circumstances beyond Kuntu Systems Limited's reasonable control.
The Platform is provided on an "as is" and "as available" basis. We do not guarantee uninterrupted or error-free availability of the Platform or defects, or that any outputs, calculations, or results generated through the Platform will always be accurate or complete and shall not be liable for any temporary disruption or unavailability of the Service.
Access to and use of the Platform is subject to payment of the applicable subscription fees. Unless otherwise agreed in writing, the Service shall be charged at a rate of Kenya Shillings Two Hundred (Kshs. 200) per employee per month. Subscription fees shall be payable in advance and calculated based on the number of employees registered or managed on the Platform during the applicable billing period. The user is responsible for ensuring that the employee information maintained on the Platform is accurate for billing purposes. Failure to pay any applicable fees when due may result in suspension or restriction of access to the Platform until all outstanding amounts are settled, without prejudice to any other rights or remedies available to Kuntu Systems Limited.
Invoices are issued on the 1st day of each calendar month for services to be rendered in the following month and are payable within thirty (30) days from the invoice date. Failure to make payment within the prescribed period may result in suspension of access to the Platform until all outstanding amounts are settled.
All payments made for the Service are non-refundable, except where otherwise expressly stated in these Terms or required by applicable law. All fees are exclusive of applicable taxes, levies, or statutory charges, which shall be payable by the user where required by law.
Kuntu reserves the right to revise its pricing or introduce additional charges with or without reasonable prior notice to users. Continued use of the Platform following such notice shall constitute acceptance of the revised charges.
Unless expressly stated otherwise in these Terms or in a separate written agreement, Kuntu Systems Limited does not provide legal, tax, accounting, or professional advisory services through the Platform.
Kuntu Systems Limited shall not be responsible or liable for:
You acknowledge that the accuracy of the results generated by the Platform is dependent on the accuracy and completeness of the information provided by the user, and that the user remains solely responsible for reviewing and verifying all payroll, tax, and statutory filings prior to submission to any regulatory authority.
Subject to compliance with these Terms and payment of applicable fees, Kuntu grants you a limited, non-exclusive, non-transferable licence to access and use the Platform. The Platform may only be used for internal business purposes relating to human resource management and payroll administration.
Kuntu reserves the right to modify or update the Platform at any time.
To the fullest extent permitted by applicable law, Kuntu, its directors, officers, employees, affiliates, and agents shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising out of or in connection with the access to, use of, or inability to use the Platform. This includes, without limitation, any loss of profits, loss of revenue, loss of data, business interruption, or loss of business opportunities, even if Kuntu Systems Limited has been advised of the possibility of such damages.
To the fullest extent permitted by law, we disclaim all warranties, express or implied, regarding the Services, including but not limited to implied warranties of merchantability and fitness for a particular purpose.
We shall not be responsible for any interruptions to Services, including scheduled maintenance, upgrades, or unforeseen system outages, nor will we be liable for any resulting losses.
We are not liable for delays in service due to circumstances beyond our control, including but not limited to acts of God, natural disasters, strikes, lockouts, accidents, war, terrorism, government actions, pandemics, severe weather conditions, traffic delays, or other emergencies.
We shall not be liable for any loss, damage, or liability arising from:
To the fullest extent permitted by applicable law, the total aggregate liability of Kuntu arising out of or in connection with the use of the Platform shall not exceed the total subscription fees paid by the user for the Service during the three (3) months immediately preceding the event giving rise to the claim.
All content, software, trademarks, logos, algorithms, architecture, documentation and materials provided through the Platform are our intellectual property or our licensors. You may not copy, distribute, reproduce, or create derivative works from any of our intellectual property without prior written consent.
Your use of the Services is also governed by our Privacy Policy, which can be found on the Platform. By using our Services, you consent to the collection and use of your information as outlined in the Privacy Policy.
By using the Services, you consent to us collecting, storing, and using your personal data as outlined in the Privacy Policy. We will not share your data with third parties without your consent, except as required by law.
We process personal data in accordance with applicable data protection laws, including the Data Protection Act, 2019. In providing the Service, we may process personal data submitted to the Platform solely for the purpose of delivering and improving the Service. You represent and warrant that you have obtained all necessary consents and lawful authority to collect, upload, and process such data through the Platform. We shall implement reasonable technical and organisational measures to safeguard personal data against unauthorised access, loss, or misuse, but shall not be responsible for any breach arising from the user's failure to comply with applicable data protection obligations.
We reserve the right to modify these T&Cs at any time and may update or amend these T&Cs from time to time. Any changes will be effective immediately upon posting on the Platform. Continued use of the Services after any changes constitutes acceptance of the new Terms.
These Terms shall be governed by and construed in accordance with the laws of Kenya. Any disputes arising out of or related to these Terms shall be subject to the exclusive jurisdiction of the courts of Kenya.
In the event of a dispute, we shall first attempt to resolve the matter through good faith negotiations within 30 days of the dispute's occurrence. If a dispute cannot be resolved through negotiation, it shall be brought exclusively in the courts of Kenya.
These Terms, together with the Privacy Policy, represent the entire agreement between you and us regarding the Services and supersede any prior agreements, representations, or communications, whether written or oral.
We reserve the right to terminate or suspend your access to the Service without prior notice if:
In the event of termination or suspension, we will attempt to notify you of the decision via the contact information provided during registration. However, we are not obligated to provide advance notice for terminations.
Upon termination of your access to the Services, you will lose the right to request assistance and may be subject to restrictions if you attempt to create a new account. Any outstanding fees or obligations incurred prior to termination will remain your responsibility.
